CONTEST PERIOD

1. The "Open your heart and WIN" ("Contest") begins at 9:00:01 a.m. (EST) on January 31st ("Contest Start Date") and closes at 11:59:59 p.m. (EST) on February 14, 2008 ("Contest Close Date"). The Contest is sponsored by Indigo Books & Music Inc. ("Sponsor").

ELIGIBILITY

2. To be eligible, you must be a legal resident of Canada, who has reached the age of majority in your province or territory of residence and you must not be an employee of the Sponsor, its advertising, promotional and public relations agencies, or a member of the immediate family or household of such employees ("Entrant"). For purposes of these rules, "member of the immediate family" means spouse, father, mother, son, daughter, brother and sister of the Entrant, whether or not they are part of the same household. In the event a person under the age of majority receives an eligible Card (as defined below), they are permitted to transfer the Card to their parent or legal guardian, who will then be the legal Entrant.

HOW TO PARTICIPATE

3. To enter, between the Contest Start Date and the Contest Close Date, simply add an in-stock greeting card to your in-store purchase of at least 25 dollars ($25) after discounts and before taxes, at any participating INDIGO, CHAPTERS or THE WORLD'S BIGGEST BOOKSTORE location in Canada. Irewards membership fees, giftcard purchases and boxed-card sets can not be used towards purchase. At time of purchase, Entrant will receive an Open your heart and WIN Valentine's Day Promotion Card ("Card" or "Entry") if Entrant does not already have one which Entrant will immediately have scanned to reveal the description of the specific prize available to be won. To claim prize, refer to instructions below, but to be eligible, all prize claims must be received by the Contest Close Date. Limit of one Entry per purchase.

4. No Purchase Necessary. To receive an Open Your Heart and Win Valentine's Day Promotion Card, go to any participating retail location and in 25 words or less on an 8.5 x 11 inch piece of paper tell us "What is in your heart for Valentine's Day?" Limit: one Entry per customer.

7. The Prizes are in Canadian dollars and must be accepted as awarded, are non-refundable, non-transferable, cannot be replaced if lost or stolen, and are not convertible to cash. Sponsor reserves the right to substitute a Prize for one of equal or greater value (based on the approximate retail value of the Prize as stated in these Rules), including without limitation, a cash award, if the Prize cannot be awarded as described for any reason.

CHANCES OF WINNING

8. Approximately 1,200,000 promotion cards will be available for distribution. Approximate odds of winning are as follows: $5 off your next purchase of $35 or more (97.89%); Godiva chocolate hearts (2.08%); A greeting card a month for a year (0.02%); A book a month for a year (0.0017%); Godiva chocolates a month for a year (0.00125%); iPod Touch (0.0008%); Diamond Earrings (0.00025%).

HOW TO CLAIM PRIZES

9. If Entrant's Card reveals a Coupon for $5 off your Next Purchase of $35 or more prize, or Godiva Chocolate Hearts, Entrant will submit the winning Card to Sponsor and receive prize.

10. If Entrant's Card reveals the Diamond Earrings, iPod touch, Godiva Chocolates a Month for a Year Prize Pack, A Book a Month for a Year or A Greeting Card a Month for a Year prize, Entrant shall: complete and sign a Declaration & Release form; correctly answer the skill testing question (on declaration & release form); and submit the eligible "winning" Card to Sponsor at the time of purchase. Once verified, Entrant will be mailed their prize within sixty (60) days of "winning" Card being submitted to Sponsor.

WINNER VERIFICATION & PUBLICITY/LIABILITY RELEASE

11. By accepting the prize, the Winner consents to the use, without compensation or further consideration, of his/her name, city and province of resident, comments and photographs or other likenesses for publicity and promotion purposes by Sponsor.

CONDUCT

12. By entering, Entrants agree to abide and be bound by these Contest Rules. Entrants further agree to abide and be bound by all decisions of Sponsor, which shall be final and binding, without right of appeal, in all matters relating to this Contest and the awarding of the Prizes.

13. Sponsor reserves the right, in its sole discretion, to disqualify any Entrant it finds to be: (a) violating the Contest Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Contest or the Contest Website; (c) acting in an unsportsman-like or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person. Any attempt by an Entrant or any other individual to deliberately damage any Open Your Heart And Win promotional material associated with this contest or to undermine the legitimate operation of this contest may be a violation of criminal and/or civil laws. Should any such attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law.

LIMITATION OF LIABILITY

14. Sponsor is not responsible for any errors, omissions, incorrect or inaccurate information in these Contest Rules, other Contest-related information, advertising, and other equipment or programming associated with or used in the Contest. Furthermore, Sponsor is not responsible for any Cards which may be lost, stolen, mutilated or destroyed or shown to be tampered with.

PROTECTION OF PERSONAL INFORMATION

15. All winners consent to the use of their personal information for the purpose of administering the Contest. All personal information provided in connection with this Contest will be handled by Sponsor in accordance with its Privacy Policy available at www.chapters.indigo.ca.

16. By winning, Entrants acknowledge that Sponsor may communicate with Entrant, including via email, with respect to the Contest including communicating the results and upcoming promotions and offers.

MISCELLANEOUS

17. Quebec Residents. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Regié des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Regié only for purpose of helping the parties reach a settlement.

18. This contest is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. The Contest is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

19. Sponsor reserves the right, in its sole discretion, to modify or terminate the Contest or the Contest Rules at any time, without notice, and for any reason. Without limiting the generality of the foregoing, if for any reason more than one Entrant receives notification that he/she is the Prize Winner of a prize that is no longer available, the Sponsor reserves the right in its sole discretion to terminate the Contest in whole or in part, or amend or suspend it and award only the prizes, as stated in these official Contest Rules, via a random drawing held following the time the Contest is terminated, suspended or amended.

20. All entries become the property of Sponsor and will not be returned and no correspondence will be made with or entered into except, where applicable, with the confirmed Winners.
